The 24
th Annual General Meeting (AGM) of M. I. Cement Factory Ltd. (Crown Cement) held at
11:00am on December 6, 2018 (Thursday) at its factory premises in West Mukterpur, Munshiganj.
The Financial Statements for the year ended 30 June 2018 and Auditors’ Report thereon, Report of
the Board of Directors; 15 percent Cash Dividend, Re-election of Directors in terms of the relevant
provisions of the Articles of Association of the Company, appoint the Independent Directors of the
Company, Appointment of Statutory Auditors and the Corporate Governance Compliance Auditors
for the year ending 30 June 2019 as well as finalization of their remuneration were approved in the
Meeting. The Chairman of the Company Mr. Mohammed Jahangir Alam presided over the Meeting.
The Managing Director of Crown Cement Alhaj Md. Khabiruddin Mollah, Additional Managing
Directors Mr. Md. Alamgir Kabir and Mr. Molla Mohammad Majnu, Directors Mr. Md. Mizanur
Rahman Mollah and Mr. Md. Almas Shimul, Independent Directors Mr. Golam Mohammad and Prof.
Dr. Shaikh Shamsuddin Ahmed along with the Sponsor Shareholder Mr. Md. Abdul Ahad, Chief
Executive Officer Mr. Masud Khan, FCA, FCMA, Executive Director (Factory) Engr. Saiful Alam,
Chief Financial Officer (Current Charge) Mr. Md. Abdul Kayum, FCMA and other high officials of
the Company were present in the Meeting. Newly appointed two Independent Directors Mr. Zakir
Ahmed Khan, Former Secretary of the Ministry of Finance and the Chairman of the National Board
of Revenue of Govt. of the People’s Republic of Bangladesh, and Dr. M. Abu Eusuf, Professor &
Former Chairman, of the Department of Development Studies, University of Dhaka, were introduced
before the AGM. Mr. Md. Mozharul Islam, FCS, Sr. General Manager & Company Secretary of
Crown Cement, conducted the Meeting.
